How do I refer an organization?
Simply share your unique referral link with anyone you’d like to refer. If they click your link and purchase a group subscription, you’ll receive a Visa® gift card via email within 30 days of that purchase.
What do I earn when an organization I refer purchases Medbridge?
You'll receive a Visa gift card for 5 percent of the total purchase price, up to $425 per order. To qualify, the organization must purchase at least two seats.
I've already referred a few organizations. When will I get my Visa gift card?
Once your referrals become active, paid subscribers, your gift card will be emailed to you within 30 days.
What if one of my referrals purchases an individual subscription (one seat for themselves), rather than a group subscription (multiple seats for their organization)?
This referral qualifies for our Refer a Friend Program. If your referral purchases an individual subscription, you’ll receive the referral bonus for that program: two months free added to your Medbridge account (eligibility restrictions apply). You must be the current owner of an individual subscription to receive the two free months.
Do I need a Medbridge subscription to participate in the Refer an Organization program?
No. All you need is a free Medbridge account. It doesn’t matter if you have a paid subscription or not.
Is there a limit to how many organizations I can refer?
Nope! There's no limit to how many organizations can use your referral link to receive the 5 percent discount, or to how many gift cards you can earn (up to $425 per referral).
Can I refer myself or my own organization?
No, you cannot refer yourself to receive both the 5 percent discount on your purchase and the 5 percent gift card reward. Self-referrals or creating duplicate accounts to generate rewards are not eligible and may result in disqualification from the program. You can, however, refer someone else at an organization that you work for.
How do I get my unique referral link?
Log in to your Medbridge account and go to the Refer an Organization page. Your personalized referral link will be available there to copy and share.
Is there a deadline for referrals to make a purchase?
Referral links typically don’t expire, but timely purchases help ensure tracking works correctly.
Who can I contact if I have questions or issues with the program?
If you have any questions or need support, please contact our customer service team via our support portal.
What if the person I refer buys seats across multiple transactions — do I still get credit?
No. You’ll only receive the 5 percent reward based on the order value (up to $425) of the first transaction for any given user.
Is the 5 percent reward based on the subtotal or the final amount after discounts/taxes?
The 5 percent referral reward is calculated based on the final amount paid by the referred organization, after any applicable discounts, but before taxes and fees.
Can I earn rewards if the referred organization purchases through a sales rep instead of online?
No. The reward is only available on the first purchase by a user completed through the online shopping cart.
Are there any restrictions on how I share my link (e.g., paid ads, email campaigns, blog posts, in professional presentations or webinars)?
You may share your referral link via email, blog posts, social media, or anywhere else as long as you do not misrepresent the program.
What if two people refer the same organization — who gets the reward?
If two people refer the same organization, the person whose referral link was clicked most recently will receive credit for the referral.
Can I refer a organization that’s already in contact with Medbridge?
You will be eligible to receive credit if the organization, which has not yet made a purchase, clicks your referral link and completes an online purchase.
Is the referral reward considered taxable income?
Yes. Referral rewards may be considered taxable income depending on your location and tax status. We recommend consulting a tax professional for guidance specific to your situation.
Can an organization use my referral link to renew their subscription?
No, referral links cannot be used to renew an existing subscription.
What qualifies as a “group subscription”?
Group subscriptions are available on our pricing page for small businesses. To qualify for a group subscription a user must purchase a minimum of two seats from any of our available plans.
Can I refer multiple departments or branches within the same company?
Yes. You can refer as many people as you like. Even if they work for the same organization.
What happens if the referred organization purchases using a different device or browser than the one where they clicked the link?
Neither you nor the organization will receive the reward for the referral. A good way to avoid this is to communicate to your referred organization that they should see a 5 percent discount in their cart before they purchase.
Can nonprofits, schools, government organizations, or clinics participate in the referral program?
Yes. The program is open to organizations of any type.
- To qualify for the referral reward, the organization you refer must purchase a Medbridge business subscription for at least two seats using your unique referral link. After verification of the completed purchase, you’ll receive 5 percent of the total order amount as a Visa® gift card, up to a maximum of $425 for each referral.

Agreement & Consent
This Referral Program Operating Agreement (the "Agreement") is made and entered into by and between Medbridge, Inc. ("Medbridge" or "we") and you ("you" or "Referrer"), the party submitting an application to become a Medbridge referral partner. The terms and conditions contained in this Agreement apply to your participation in the Medbridge Referral Program (the "Referral Program"). Each Referral Program campaign (a "Campaign") may be for any offering by Medbridge or a third party (each such third party a "Client") and may link to a specific web site for that particular Campaign ("Program Web Site"). Furthermore, each Campaign may have additional terms and conditions on pages within the Referral Program and are incorporated as part of this Agreement. By submitting an application or participating in a Campaign, you expressly consent to all the terms and conditions of this Agreement.
By submitting an application to the Referral Program, you affirm and acknowledge that you have read this Agreement in its entirety and agree to be bound by all of its terms and conditions. If you do not wish to be bound by this Agreement, you should not submit an application to the Referral Program. If an individual is accessing this Agreement on behalf of a business entity, by doing so, such individual represents that they have the legal capacity and authority to bind such business entity to this Agreement. This Agreement was last revised on June 2nd, 2025.

Enrollment in the Referral Program
You must submit a Referral Program application on our website by visiting the referral program page and clicking the web page button to generate a referral link. After clicking the web page button, you will get a unique custom referral Link. We may accept or reject your application at our sole discretion for any reason.

Obligations of the Parties
-
Medbridge Obligations. Subject to our acceptance of you as an Referrer and your continued compliance with the terms and conditions of this Agreement, Medbridge agrees as follows:
- We will make available to you graphic and textual links to the Program Web Site and/or other creative materials (collectively, the "Links") which you may display on web sites owned or controlled by you, in emails sent by you and clearly identified as coming from you, and in online and offline advertisements (collectively, "Media"). The Links will serve to identify you as a member of our Referral Program and will establish a link from your Media to the Medbridge Web Site. Your Links will remain active until Medbridge (a) terminates the Referral Program in its sole discretion or (b) terminates your participation in the agreement under Section 5 of this Agreement.
- We will pay for each Qualified Action (the "Referral"). A "Qualified Action" means a purchase made by an individual person who (i) accesses the Program Web Site via the Link, where the Link is the last link to the Program Web Site, (ii) is not a computer-generated user, such as a robot, spider, computer script, or other automated, artificial, or fraudulent method to appear like an individual, real live person, (iii) is not using pre-populated fields, (iv) completes all of the information required for such action within the time period allowed by Medbridge, (v) and (v) is not later determined by Medbridge to be fraudulent, incomplete, unqualified, duplicative, or refunded.
- We will pay Referrals within 30 business days following the quarter in which the Qualified Action took place. Referral payments shall be made through e-mail Visa gift card sent to the contact information on file with Medbridge.

We will pay you according to the Referral structure shown
below, for any Referrals earned:
- For group subscription sales to new Clients of at least two (2) licenses made through your Links, Medbridge will pay a Referral earning equal 5% of the total purchase price (exclusive of applicable taxes), up to a maximum referral earnings of $425 per purchase. Medbridge will (a) pay all Referrals at a minimum rate of $10 per referral, and (b) will round any Referral up to the nearest whole dollar when calculating the Referral payment. If a Client purchases seats across multiple transactions using the Links, then Medbridge will only pay a Referral on the first completed transaction that meets the terms set forth in this agreement.
- Payment for Referrals is dependent upon Clients providing such funds to Medbridge, and therefore, you agree that Medbridge shall only be liable to you for Referrals to the extent that Medbridge has received such funds from the Clients. You hereby release Medbridge from any claim for Referrals if Medbridge has not received such funds from the Clients.
- Medbridge shall automatically track all Referrals payable under this Agreement and shall remit payment to Referrer based upon that information. All tracking of Links and determinations of Qualified Actions and Referrals shall be made by Medbridge at its sole discretion. In the event that Referrer disputes in good faith any portion of an invoice, Referrer must submit that dispute to Medbridge in writing and in sufficient detail within thirty (30) days. Medbridge and Referrer agree to make a good faith effort to arrive at a reconciliation.
- If Referrer has an outstanding balance due to Medbridge under this Agreement or any other agreement between the Referrer and Medbridge, whether or not related to the Referral Program, Referrer agrees that Medbridge may offset any such amounts due to Medbridge from amounts payable to Referrer under this Agreement.

Referrer Obligations. Referrer agrees to:
- Not represent any discount offered by the Referrer which states savings over Medbridge’s published prices unless the discount is previously authorized by Medbridge in writing.
- Ensure that Referrer’s own SEM activity does not include bidding on the specific keywords "Medbridge", "Medbridge Education", "MedbridgeEducation.com", “Medbridge.com”, or any misspellings of Medbridge in any form on Adwords, Bing, or any other PPC search platform. Bidding on "Medbridge Promo Code" is permissible if in accordance with Section B.I.
- Have sole responsibility for the development, operation, and maintenance of, and all content on or linked to, your Media.
- Ensure that all materials posted on your Media or otherwise used in connection with the Referral Program (i) are not illegal, (ii) do not infringe upon the intellectual property or personal rights of any third party, and (iii) do not contain or link to any material which is harmful, threatening, defamatory, obscene, sexually explicit, harassing, promotes violence, promotes discrimination (whether based on sex, religion, race, ethnicity, nationality, disability, or age), promotes illegal activities (such as gambling), contains profanity, or otherwise contains materials that Medbridge informs you that it considers objectionable (collectively, "Objectionable Content").
- Not make any representations, warranties, or other statements concerning Medbridge or Client or any of their respective products or services, except as expressly authorized herein.
- Make sure that your Media does not copy or resemble the look and feel of the Medbridge Web Site or create the impression that your Media is endorsed by Medbridge or Clients or a part of the Medbridge Web Site, without prior written permission from us.
- Comply with all (i) obligations, requirements, and restrictions under this Agreement and (ii) laws, rules, and regulations as they relate to your business, your Media, or your use of the Links.
- Comply with the terms, conditions, guidelines, and policies of any third party services used by Referrer in connection with the Referral Program, including but not limited to email providers, social networking services, and ad networks.
- Always prominently post and make available to end-users, including prior to the collection of any personally identifiable information, a privacy policy in compliance with all applicable laws that clearly and thoroughly discloses all information collection, use and sharing practices, including providing for the collection of such personally identifiable information in connection with the Referral Program and the provision of such personally identifiable information to Medbridge and Clients for use as intended by Medbridge and Clients.
- Always prominently post and make available to end-users any terms and conditions in connection with the Campaign set forth by Medbridge or Client, or as required by applicable laws regarding such Campaigns.
- Make sure to not place Medbridge ads on any online auction platform (i.e. eBay, Amazon, etc.).

The following additional program-specific terms shall apply
to any promotional programs set forth below:
- Email Campaigns. For all email campaigns, Referrer agrees to maintain a "Do Not Subscribe List." Referrer shall filter its email list by removing any entries appearing on the Do Not Subscribe List and will only send emails to the remaining addresses on its email list. For any Email Campaigns provided by Medbridge, Medbridge will provide an opt-out method. Referrer is responsible for providing an unsubscribe or opt-out method for any Referrer-created emails or Email Campaigns. Referrer Email Campaigns containing the Links may not include any content other than the Links, except as required by applicable law. Referrer agrees that failure to maintain a Do Not Subscribe List and remove all emails from Referrer’s database before mailing may result in Referral withholdings, removal, or suspension from all or part of the Referral Program, possible legal action and any other rights, or remedies available to Medbridge pursuant to this Agreement or otherwise.
- Referrer Network Campaigns. For all Referrers that maintain their own referral partner networks, Referrer shall not make the Links in its referral partner network (the "Network") available for access and use by those referral partners in Referrer's Network (each a "Third Party Referrer").

Confidentiality
Except as otherwise provided in this Agreement or with the consent of Medbridge, you agree that all information, including without limitation the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, concerning us or any of our referral partners provided by or on behalf of any of them shall remain strictly confidential and secret and shall not be utilized, directly or indirectly, by you for any purpose other than your participation in the Referral Program, except and solely to the extent that any such information is generally known or available to the public through a source other than you. Referrer shall not use any information obtained from the Referral Program to develop, enhance, or operate a service that competes with the Referral Program, or assist another party to do the same.

Limited License & Intellectual Property
We grant you a nonexclusive, non transferable, revocable right to use the Links and to access our web site through the Links solely in accordance with the terms of this Agreement, for the sole purpose of identifying your Media as a participant in the Referral Program and assisting in increasing sales through the Program Website. You may not alter, modify, manipulate, or create derivative works of the Links or any Medbridge graphics, or other materials owned by, or licensed to, Medbridge in any way. You are only entitled to use the Links to the extent that you are a member in good standing of the Referral Program. We may revoke your license anytime by giving you written notice. Except as expressly stated herein, nothing in this Agreement is intended to grant you any rights to any of Medbridge's trademarks, service marks, copyrights, patents, or trade secrets. You agree that Medbridge may use any suggestion, comment, or recommendation you choose to provide to Medbridge without compensation. All rights not expressly granted in this Agreement are reserved by Medbridge.

Termination
This Agreement shall commence on the date of our approval of your Referral Program application and shall continue thereafter until terminated as provided herein. You may terminate your participation in the Referral Program at any time by removing all Links from your Media, deleting all copies of the Links, and providing written notice to Medbridge. We may terminate your participation in one or more Campaigns or this Agreement at any time and for any reason we deem appropriate with or without prior notice to you by disabling the Links and providing you with written notice. Upon termination of your participation in one or more Campaigns or this Agreement for any reason, you will immediately cease all use of and delete all Links, plus all Medbridge or Client intellectual property, and will cease representing yourself as a Medbridge or Client referral partner for such one or more Campaigns. All rights to validly accrued payments, causes of action, and any provisions, which by their terms are intended to survive termination, shall survive any termination.

Remedies
In addition to any other rights and remedies available to us under this Agreement, Medbridge reserves the right to delete any actions submitted through your Links and withhold and freeze any unpaid Referrals or charge back paid Referrals to your account if (i) Medbridge determines that you have violated this Agreement, (ii) Medbridge receives any complaints about your participation in the Referral Program which Medbridge reasonably believes to violate this Agreement, or (iii) any Qualified Action is later determined to have not met the requirements set forth in this Agreement or on the Referral Program. Such withholding or freezing of Referrals, or charge backs for paid Referrals, shall be without regard as to whether or not such Referrals were earned as a result of such breach. In the event of a material breach of this Agreement, Medbridge reserves the right to disclose your identity and contact information to appropriate law enforcement or regulatory authorities or any third party that has been directly damaged by your actions.

Anti-Spam Policy
You must strictly comply with the federal CAN-SPAM Act of 2003 (the "Act") and any other applicable laws or regulations. All emails sent in connection with the Referral Program must include the appropriate party's opt-out link. From time to time, we may request prior to your sending emails containing, linking, or referencing the Referral Program that you submit the final version of your email to Medbridge for approval by sending it to your Medbridge representative, and upon receiving written approval from Medbridge of your email the email may be transmitted to third parties. It is solely your obligation to ensure that the email complies with the Act and any other applicable laws or regulations. You agree not to rely upon Medbridge's approval of your email for compliance with the Act, or assert any claim that you are in compliance with the Act based upon Medbridge's approval.

Fraud
You are expressly prohibited from using any persons, means, devices or arrangements to commit fraud, violate any applicable law, interfere with other referral partners, or falsify information in connection with referrals through the Links or the generation of Referrals, or exceed your permitted access to the Referral Program. Such acts include but are in no way limited to using automated means to increase the number of clicks through the Links or completion of any required information, using spyware, stealware, cookie-stuffing, click-fraud, or other deceptive acts. Medbridge shall make all determinations about fraudulent activity in its sole discretion.

Representations and Warranties
You hereby represent and warrant that this Agreement constitutes your legal, valid, and binding obligation enforceable against you in accordance with its terms and that you have the authority to enter into this Agreement.

Modifications
In addition to any notice permitted to be given under this Agreement, we may modify any of the terms and conditions of this Agreement at any time by providing you with a notification by email. The changes will become effective ten (10) business days after such notice. If the modifications are unacceptable to you, you may terminate this Agreement without penalty solely on the account of such termination within such ten (10) business day period. Your continued participation in this Referral Program ten (10) business days after a change notice has been posted will constitute your acceptance of such change. In addition, Medbridge may change, suspend, or discontinue any aspect of a Campaign or Link or remove, alter, or modify any tags, text, graphic or banner ad in connection with a Link. Referrer agrees to promptly implement any request from Medbridge to remove, alter, or modify any Link, graphic, or banner ad that is being used by Referrer as part of the Referral Program.

Independent Investigation
You acknowledge that you have read this Agreement and agree to all its terms and conditions. You have independently evaluated the desirability of participating in the Referral Program and each Campaign, and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement or on the Referral Program.

Indemnification
Referrer hereby agrees to indemnify, defend, and hold harmless Medbridge and Clients and their respective subsidiaries, referral partners, partners, licensors, directors, officers, employees, owners, and agents against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and costs) based on (i) any failure or breach of this Agreement, including any representation, warranty, covenant, restriction, or obligation made by Referrer herein, (ii) any misuse by Referrer, or by a party under the reasonable control of Referrer or obtaining access through Referrer, of the Links, Campaigns or Medbridge or Client intellectual property, or (iii) any claim related to your Media, including but not limited to the content contained on such Media (except for the Links).

Disclaimers
THE REFERRAL PROGRAM AND LINKS, AND THE PRODUCTS AND SERVICES PROVIDED IN CONNECTION THEREWITH, ARE PROVIDED TO REFERRER "AS IS". EXCEPT AS EXPRESSLY SET FORTH HEREIN, MEDBRIDGE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF THE COURSE OF DEALING, USAGE, OR TRADE. MEDBRIDGE DOES NOT WARRANT THAT THE REFERRAL PROGRAM OR LINKS WILL MEET REFERRER'S SPECIFIC REQUIREMENTS OR THAT THE OPERATION OF THE REFERRAL PROGRAM OR LINKS WILL BE COMPLETELY ERROR-FREE OR UNINTERRUPTED. MEDBRIDGE EXPRESSLY DISCLAIMS ANY LIABILITY FOR ANY ACT OR OMISSION OF A CLIENT OR THEIR PRODUCTS OR SERVICES. MEDBRIDGE DOES NOT GUARANTEE THAT REFERRER WILL EARN ANY SPECIFIC AMOUNT OF REFERRALS.

Limitation of Liability
IN NO EVENT SHALL MEDBRIDGE BE LIABLE FOR ANY UNAVAILABILITY OR INOPERABILITY OF THE LINKS, PROGRAM WEB SITES, TECHNICAL MALFUNCTION, COMPUTER ERROR, CORRUPTION OR LOSS OF INFORMATION, OR OTHER INJURY, DAMAGE, OR DISRUPTION OF ANY KIND BEYOND THE REASONABLE CONTROL OF MEDBRIDGE. IN NO EVENT WILL MEDBRIDGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PERSONAL INJURY / WRONGFUL DEATH, SPECIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF SUCH DAMAGES ARE FORESEEABLE AND WHETHER OR NOT MEDBRIDGE HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. MEDBRIDGE'S CUMULATIVE LIABILITY TO REFERRER, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL BE LIMITED TO AND WILL NOT EXCEED THE AMOUNTS PAID TO REFERRER BY MEDBRIDGE IN REFERRALS DURING THE SIX (6) MONTHS IMMEDIATELY PRIOR TO SUCH CLAIM.

DIGITAL SIGNATURE PROVISION
You represent and warrant that you have the legal right, power and authority to agree to the terms of this Agreement. You further agree that your actions of clicking the “I Agree” checkbox constitutes an electronic signature as defined by the Electronic Signatures in Global and National Commerce Act ("E- Sign") and the Uniform Electronic Transactions Act ("UETA") and that you have formed, executed, entered into, accepted the terms of and otherwise authenticated this Agreement and acknowledged and agreed that this Agreement is an electronic record for purposes of E-Sign, UETA and the Uniform Computer Information Transactions Act and as such is completely valid, has legal effect, is enforceable, and is binding on, and non-refutable by you.

Governing Law & Miscellaneous
Referrer shall be responsible for the payment of all attorney’s fees and expenses incurred by Medbridge to enforce the terms of this Agreement. This Agreement contains the entire agreement between Medbridge and Referrer with respect to the subject matter hereof. Referrer agrees that Medbridge shall not be subject to or bound by any Referrer insertion order or online terms and conditions that amend, conflict with, or supplement this Agreement, regardless of whether Medbridge "clicks through" or otherwise indicates its acceptance thereof. Referrer may not assign all or any part of this Agreement without Medbridge's prior written consent. Medbridge may assign this Agreement at any time with notice to Referrer. This Agreement will be binding on and will inure to the benefit of the legal representatives, successors, and valid assigns of the parties hereto. The provisions of Section 3, 4(b), 6, 7, 8, 12-16 and any accrued payment obligations shall survive the termination of this Agreement. Except as set forth in the "Modifications" section above, this Agreement may not be modified without the prior written consent of both parties. If any provision of this Agreement is held to be void, invalid or inoperative, the remaining provisions of this Agreement shall continue in effect and the invalid portion of any provision shall be deemed modified to the least degree necessary to remedy such invalidity while retaining the original intent of the parties. Each party to this Agreement is an independent contractor in relation to the other party with respect to all matters arising under this Agreement. Nothing herein shall be deemed to establish a partnership, joint venture, association, or employment relationship between the parties. No course of dealing nor any delay in exercising any rights hereunder shall operate as a waiver of any such rights. No waiver of any default or breach shall be deemed a continuing waiver or a waiver of any other breach or default.
